A Texas resident is embroiled in a legal battle over an alleged breach of contract involving a significant financial investment. Adam Harwood filed a complaint on February 26, 2026, in the United States District Court for the District of Arizona against UBD Capital, LLC and its sole manager, Geoffrey D. Harris. The lawsuit centers around a $100,000 bridge loan intended for a business venture that has yet to be repaid.
The case unfolds with Harwood claiming that he was approached by Harris in January 2025 with an investment opportunity—a hard money bridge loan for a Take 5 Oil franchise in Rochester, Minnesota. Harris assured Harwood that the loan would mature by April 21, 2025, promising a return of 10% interest and an additional 1% per month if delayed. The agreement was formalized on January 21, 2025, when both parties signed a contract. Harwood fulfilled his part by wiring the funds to an account linked to Harris’s residence, which also serves as UBD Capital’s business address.
However, as the deadline passed without repayment, Harwood received multiple excuses from Harris regarding delays but no payment materialized. Despite assurances that Harris would personally cover the loan if the franchise deal fell through, no funds were returned. This led Harwood to send a formal demand letter seeking immediate repayment.
Harwood’s lawsuit accuses Harris and UBD Capital of several violations including breach of contract and promissory fraud. He argues that Harris used UBD as his “alter ego,” failing to maintain corporate formalities and using company resources for personal gain—actions that should nullify any liability protections typically afforded to limited liability companies. Furthermore, Harwood alleges that Harris made false promises about the investment’s purpose and outcome with no intention of fulfilling them.
In pursuit of justice, Harwood seeks recovery of the principal amount plus interest totaling at least $119,000. Additionally, he requests punitive damages for willful misconduct and reimbursement for legal costs under Arizona law. The complaint also calls for pre-judgment and post-judgment interest on all amounts owed until full repayment is achieved.
